針對(duì)近日安世半導(dǎo)體荷蘭總部（以下簡(jiǎn)稱“荷蘭安世”）宣布因安世中國(guó)東莞封測(cè)工廠違約未付合同款而暫停供應(yīng)晶圓一事，11月2日，安世半導(dǎo)體中國(guó)有限公司（以下簡(jiǎn)稱“安世中國(guó)”或“中國(guó)安世”）再度發(fā)布雙語(yǔ)聲明進(jìn)行了駁斥。

安世中國(guó)稱，荷蘭安世的言論是混淆視聽，極具誤導(dǎo)性。事實(shí)上，安世中國(guó)不存在違約行為，反而是荷蘭安世目前欠付安世中國(guó)東莞封測(cè)的貨款高達(dá) 10 億元人民幣。

安世中國(guó)還強(qiáng)調(diào)，目前已建立充足的成品與在制品庫(kù)存，能夠穩(wěn)定、持續(xù)地滿足廣大客戶直至年底乃至更長(zhǎng) 時(shí)間的訂單需求，供應(yīng)鏈安全可靠。

你們好！相信大家已經(jīng)獲悉，荷蘭安世半導(dǎo)體單方面決定自2025年10月26日起停止向位于東莞 的封裝測(cè)試工廠（ATGD）供應(yīng)晶圓。在致客戶的函件中，荷蘭安世半導(dǎo)體聲稱此舉系所謂的“當(dāng)?shù)毓?理層近期未能遵守約定的合同付款條件的直接后果”。上述言論混淆視聽，極具誤導(dǎo)性，我們對(duì)此極為 震驚并強(qiáng)烈反對(duì)。在此，我們鄭重聲明如下：

Greetings. We believe you have all learned that Nexperia Netherlands has unilaterally decided to suspend the supply of wafers to the assembly and test site in Dongguan (ATGD) as of 26 October 2025. In a letter to customers, Nexperia Netherlands claims that this decision is “a direct consequence of the local management’s recent failure to comply with the agreed contractual payment terms.” These statements are misleading and highly deceptive. We are deeply shocked and strongly oppose them. We hereby solemnly declare the following:

1. 荷蘭安世半導(dǎo)體所謂“當(dāng)?shù)毓芾韺咏谖茨茏袷丶s定的合同付款條件”完全是無(wú)中生有，惡意抹黑安世中國(guó)管理層。安世中國(guó)不存在違約行為；恰恰相反，荷蘭安世半導(dǎo)體目前欠付ATGD的貨款高達(dá) 10 億元人民幣。

1. Nexperia Netherlands’s claim that “l(fā)ocal management’s recent failure to comply with agreed contractual payment terms” is entirely fabricated and constitutes malicious defamation against Nexperia China’s management. Nexperia China has not breached any contracts; on the contrary, Nexperia Netherlands currently owes ATGD over RMB 1 billion in outstanding payments.

2. 荷蘭安世半導(dǎo)體相關(guān)管理層在決策過程中嚴(yán)重失職失責(zé)，將個(gè)人利益凌駕于公司整體利益之上，嚴(yán)重違背職業(yè)操守和公司治理要求，由此給公司、廣大員工造成的損失，應(yīng)依法承擔(dān)責(zé)任。

2. The relevant management team at Nexperia Netherlands have demonstrated severe dereliction of duty in decision-making, putting personal interests over the company’s overall interests. This action gravely violates professional ethics and corporate governance requirements. They must bear legal responsibility for the losses inflicted upon the company and its employees.

3. 荷蘭安世半導(dǎo)體單方面停止供貨的行為，完全置客戶利益于不顧，嚴(yán)重違反合同約定和商業(yè)合作原則，嚴(yán)重破壞了客戶信任，是極其不負(fù)責(zé)任的做法。

3.Nexperia Netherlands’s unilateral suspension of supply completely disregards customer interests,severelyviolatescontractual agreementsandcommercial cooperationprinciples, and gravely undermines customer trust. This is an extremely irresponsible act.

4. 目前，安世中國(guó)已建立充足的成品與在制品庫(kù)存，能夠穩(wěn)定、持續(xù)地滿足廣大客戶直至年底乃至更長(zhǎng) 時(shí)間的訂單需求，供應(yīng)鏈安全可靠。為確保供應(yīng)的長(zhǎng)期性與韌性，我們已積極啟動(dòng)多套預(yù)案，正在加 緊驗(yàn)證新的晶圓產(chǎn)能。我們對(duì)在短期內(nèi)完成驗(yàn)證、并自明年起無(wú)縫銜接滿足所有客戶需求充滿信心。

4. At present, Nexperia China has established sufficient inventories of finished goods and work-in-progress, enabling stable and sustained fulfillment of customer orders through year-end and beyond. Our supply chain remains secure and reliable. To ensure long-term supply resilience, we have proactively initiated multiple contingency plans and are accelerating the qualification of new wafer supply sources. We are confident in completing this qualification shortly and seamlessly meeting all customers’ demands starting next year.
